About the Role

Ogury is seeking a Legal Counsel to join our Legal team in the Americas. This position offers a unique opportunity to work at the intersection of law, technology, and digital advertising. You will act as a trusted advisor to the business, supporting colleagues across Sales, Customer Success, Publishing, Marketing, and beyond.

In this role, you will partner closely with teams to help them understand and navigate the legal framework in which we operate.

You will provide clear, actionable guidance on commercial contracts, privacy, compliance, and corporate matters, ensuring that business decisions are both innovative and legally sound. Beyond advising on transactions, you will influence the way our teams approach risk, compliance, and client partnerships by educating stakeholders, building scalable processes, and helping to drive consistency across the business.

As a member of our global Legal team, you will contribute to international initiatives and collaborate with colleagues across Americas, Europe and APAC. This is a highly visible role that requires excellent communication skills, commercial awareness, and the ability to simplify complexity while driving alignment across diverse teams.

This role reports to our General Counsel and may be based in one of our US offices (Boston, Chicago, Bentonville, or Los Angeles). For candidates not located near an office, we are also open to remote work within the United States.

• Support Sales Teams: Partner with Ogurys sales and commercial functions to review, draft, and negotiate client agreements, ensuring contracts are clear, commercially viable, and compliant with legal and regulatory requirements.
• Vendor & Supplier Contracts: Draft, negotiate, and manage agreements with suppliers, service providers, and strategic partners, balancing business needs with contractual protections.
• Legal Research & Monitoring: Stay up to date on laws, regulations, and industry self-regulatory codes (including privacy, advertising, and marketing standards) that may impact Ogurys operations, and communicate changes to internal teams in a practical way.
• Template & Process Management: Maintain and continuously improve contract templates, playbooks, and approval processes, ensuring consistency across the Americas while aligning with the global Legal team.
• Privacy & Compliance Guidance: Provide practical advice on data privacy, advertising, consumer protection, and other relevant areas of law, helping teams implement compliant practices without slowing innovation.
• Dispute Resolution: Assist in handling disputes and escalations, including correspondence, strategy development, and liaising with external counsel when appropriate.
• Training & Education: Develop and deliver training sessions and presentations to internal stakeholders on key topics such as contract processes, data privacy, compliance requirements, and risk awareness, fostering a culture of legal and ethical responsibility.
• Cross-Functional Collaboration: Work with teams across Sales, Customer Success, Marketing, Finance, and Publishing to ensure legal considerations are built into business planning and client relationships.
• Corporate Governance: Support corporate secretarial matters for Ogury subsidiaries in the Americas, including record-keeping, filings, and governance compliance.
• Business Enablement: Act as a strategic partner by translating legal concepts into actionable recommendations that help teams achieve business goals while managing risk effectively.

• Ethical & Responsible: High degree of integrity, professionalism, and sound judgment, with a strong commitment to compliance, confidentiality, and ethical practices.
• Global Mindset: Awareness of working in a multinational environment and openness to collaborating with colleagues across different jurisdictions, time zones, and cultural contexts.
• Legal Experience: Juris Doctor (JD) from an accredited U.S. law school and admission to at least one U.S. state bar. Experience practicing law in-house, ideally in the technology, data privacy, or advertising industries, is a plus.
• Contract Expertise: Familiarity with contract review and negotiation.
